PEMPO TERMS OF SERVICE

1. Acceptance of Terms

By downloading, installing, or using the Pempo mobile application you agree to be bound by these Terms of Service. If you do not agree to these terms do not use the app. These Terms of Service constitute a legally binding agreement between you and Pempo and its parent LLC. We reserve the right to update these terms at any time and your continued use of the app constitutes acceptance of any changes.

2. Description of Service

Pempo is a mobile application that allows users to selectively share their personal and professional contact information with others via dynamically generated QR codes. Users create a profile, select which fields to share, generate a QR code, and allow others to scan it to save the contact information directly to their phone. Pempo offers both a free tier and paid subscription tiers with additional features.

3. Eligibility

You must be at least 13 years of age to use Pempo. By using the app you represent and warrant that you are at least 13 years old and that you have the legal capacity to enter into these Terms of Service. If you are between 13 and 18 years old you represent that your parent or legal guardian has reviewed and agreed to these terms on your behalf.

4. User Accounts and Profiles

Pempo does not require you to create an account to use the app. All profile information you enter is stored locally on your device. You are solely responsible for the accuracy of the information you enter into your Pempo profile. You agree not to enter false, misleading, or fraudulent contact information. Pempo is not responsible for any consequences arising from inaccurate information in your profile.

5. Acceptable Use

You agree to use Pempo only for lawful purposes and in accordance with these Terms of Service. You agree not to use Pempo to:

Share false or misleading contact information
Impersonate another person or entity
Harass, stalk, or harm any individual
Violate any applicable local, state, national, or international law or regulation
Attempt to reverse engineer, decompile, or disassemble any part of the app
Use the app in any manner that could damage, disable, or impair the app or interfere with any other party's use of the app
Attempt to gain unauthorized access to any part of the app or its related systems

6. Subscription Plans and Payments

Pempo offers the following subscription tiers:

Free Plan — Available at no cost with core features included as described in the app.

Premium Plan — Available at $4.99 per month billed monthly or $49.99 per year billed annually. The Premium plan includes all Free features plus additional features as described in the app.

Enterprise Plan — Custom pricing for teams and organizations. Contact us for Enterprise pricing and terms.

All payments are processed through Apple App Store or Google Play Store depending on your device and are subject to their respective terms and conditions. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage and cancel your subscription through your App Store or Google Play account settings. Pempo does not offer refunds for partial subscription periods except where required by applicable law.

7. Free Trial

Pempo may offer free trials of the Premium plan from time to time. If a free trial is offered the duration and terms will be clearly stated at the time of signup. Your subscription will automatically convert to a paid subscription at the end of the free trial period unless you cancel before the trial ends.

8. Intellectual Property

All content, features, and functionality of Pempo including but not limited to the app design, graphics, logos, icons, text, and software are the exclusive property of Pempo and its LLC and are protected by applicable intellectual property laws. The Pempo name, logo, and tagline Your Info. Your Choice. Your Terms. are trademarks of Pempo and its LLC. You may not use any Pempo trademarks without our prior written consent. You are granted a limited, non-exclusive, non-transferable, revocable license to use the app solely for your personal, non-commercial purposes in accordance with these Terms of Service.

9. User Content and Data

All contact information you enter into Pempo is stored locally on your device and remains your property at all times. Pempo does not claim any ownership over the information you enter into your profile. By using Pempo you grant us no rights to your personal contact information. You are solely responsible for the contact information you choose to share using the app and for any consequences of that sharing.

10. Privacy

Your use of Pempo is also governed by our Privacy Policy which is incorporated into these Terms of Service by reference. Please review our Privacy Policy to understand our practices regarding your information. By using Pempo you agree to the collection and use of information as described in our Privacy Policy.

11. Disclaimer of Warranties

Pempo is provided on an as is and as available basis without warranties of any kind either express or implied. To the fullest extent permitted by applicable law Pempo disclaims all warranties express or implied including but not limited to implied warranties of merchantability fitness for a particular purpose and non-infringement. Pempo does not warrant that the app will be uninterrupted error-free or free of viruses or other harmful components. Pempo does not warrant that the results obtained from the use of the app will be accurate or reliable.

12. Limitation of Liability

To the fullest extent permitted by applicable law Pempo and its LLC, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages including but not limited to loss of profits, data, or goodwill arising out of or in connection with your use of or inability to use the app. In no event shall Pempo's total liability to you for all claims arising out of or related to these Terms of Service exceed the amount you paid to Pempo in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Pempo and its LLC, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses including reasonable attorneys fees arising out of or in connection with your use of the app, your violation of these Terms of Service, or your violation of any rights of another person or entity.

14. Third Party Services

Pempo integrates with certain third party services including RevenueCat for payment processing and Apple App Store and Google Play Store for app distribution and payment handling. Your use of these third party services is subject to their respective terms of service and privacy policies. Pempo is not responsible for the practices or content of any third party services.

15. Termination

We reserve the right to terminate or suspend your access to Pempo at any time and for any reason including if we reasonably believe you have violated these Terms of Service. Upon termination your right to use the app will immediately cease. Since all data is stored locally on your device termination of your access does not affect data already stored on your device.

16. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the state in which Pempo's LLC is registered without regard to its conflict of law provisions. Any disputes arising under these Terms of Service shall be subject to the exclusive jurisdiction of the courts located in that state.

17. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms of Service or your use of Pempo we encourage you to contact us first to seek an informal resolution. If an informal resolution cannot be reached any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class wide arbitration against Pempo.

18. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes through the app or through the App Store and Google Play Store listing. Your continued use of Pempo after any changes to these Terms of Service constitutes your acceptance of the updated terms. We encourage you to review these Terms of Service periodically.

19. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable by a court of competent jurisdiction that provision shall be modified to the minimum extent necessary to make it enforceable and the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms of Service together with our Privacy Policy constitute the entire agreement between you and Pempo regarding your use of the app and supersede all prior agreements and understandings whether written or oral relating to the subject matter herein.
